Identification of the Seller and acceptance

These General Terms and Conditions of Sale (hereinafter, the “Terms”) govern the purchase of products made by users (hereinafter, the “CUSTOMER”) through the website ibkbike.com and its associated domains (ibkbike.es, ibkbike.fr, ibkbike.de, ibkbike.uk and ibkbike.ch), hereinafter jointly and interchangeably referred to as the “WEBSITE”, owned by:

Placing an order on the WEBSITE implies full acceptance of these Terms by the CUSTOMER.

Article 1. Definitions

For the purposes of these Terms, the following terms shall have the meaning assigned to them below:

CUSTOMER A natural person over eighteen (18) years of age — or the age of majority under the law of their country of residence, if higher — acting as an end consumer, making the purchase outside of any commercial, business, trade or professional activity. The WEBSITE is aimed exclusively at consumers (B2C); sales to professionals or businesses are expressly excluded, unless a specific written agreement exists.

SELLER The company Turboebike 2018 SL, with Tax ID ESB75211482, with registered office at Polígono Benta-Aldea, 26, 20270 Anoeta, Gipuzkoa, Spain, and owner of the WEBSITE.

WEBSITE The website accessible through the domain ibkbike.com and any other domain, subdomain or national/market version operated by the SELLER under the IBKBIKE brand, including, among others, ibkbike.es, ibkbike.fr, ibkbike.de, ibkbike.uk, ibkbike.ch and ibkbike.eu, through which the SELLER markets its products. This definition includes any domain or market that the SELLER may enable in the future under the IBKBIKE brand, without the need to amend these Terms for its inclusion.

PRODUCT Any movable goods offered for sale on the WEBSITE, including, among others, complete bicycles, frames, components, spare parts, accessories, apparel and cycling-related products.

ASSEMBLY AND PREPARATION SERVICE An optional, paid service, expressly requested by the CUSTOMER, consisting of the professional preparation of certain bicycles prior to shipment, including, among others: gear adjustment; brake adjustment and bleeding where applicable; tightening of bolts to the manufacturer’s recommended torque; application of technical grease at the necessary points; software updates where applicable; full electronics check; verification of the correct functioning of batteries and chargers; steering and moving parts check; general component check; and basic suspension check, where the bicycle is fitted with suspension.

BASIC CHECK (WITHOUT ASSEMBLY SERVICE) If the CUSTOMER does not purchase the Assembly and Preparation Service, the SELLER will carry out only a visual check prior to shipment to verify that the bicycle shows no visible dents or damage, without carrying out any mechanical or electronic adjustments, functional checks, technical inspections or any other tuning.

ORDER A purchase request made by the CUSTOMER through the WEBSITE, in accordance with the purchasing procedure set out in these Terms.

DELIVERY Making the PRODUCTS purchased by the CUSTOMER available at the address indicated in the ORDER.

TERRITORY These Terms apply to sales destined for: Spain (including the Canary Islands, Ceuta and Melilla), the rest of the European Union member states, the United Kingdom, the United States, and any other country or market in which the SELLER enables sales through the WEBSITE, regardless of whether that country belongs to the European Union or not (for example, Monaco). Applicable conditions may vary depending on the destination, particularly regarding taxes, customs, withdrawal and warranties, as set out in these Terms, and without prejudice to the mandatory consumer protection rules of the CUSTOMER’s country of residence where applicable.

Article 2. Bicycle assembly and preparation service

The CUSTOMER may, optionally and upon payment of the corresponding amount, purchase a professional Assembly and Preparation Service for the bicycle as defined in Article 1.

If the CUSTOMER does not purchase this service, the SELLER will only check, prior to shipment, that the bicycle shows no visible dents or damage, without carrying out any mechanical or electronic adjustment, technical inspection, functional check or additional tuning.

Due to transport constraints, the bicycle may be delivered partially disassembled, including, by way of example: front wheel removed and, in some cases, handlebars turned or removed, or seatpost removed. Final assembly shall be the CUSTOMER’s responsibility, in accordance with the manufacturer’s instructions or by a qualified professional.

The CUSTOMER acknowledges and accepts that, by purchasing the Assembly and Preparation Service, they are expressly requesting that its performance begin before the withdrawal period ends. In the event of withdrawal from the PRODUCT, the amount paid for the Assembly and Preparation Service will not be refundable to the extent that the service has actually been provided, without prejudice to the CUSTOMER’s right to return the PRODUCT in accordance with applicable regulations.

The SELLER shall not be liable for damage arising from incorrect final assembly, subsequent adjustments made by the CUSTOMER or third parties, unauthorised modifications, inadequate maintenance or improper use of the product after delivery.

Article 3. Territorial scope, taxes, customs and applicable regulations

These Terms apply to purchases destined for Spain (including the Canary Islands, Ceuta and Melilla), the European Union, the United Kingdom and the United States.

1. Sales in Spain and the European Union The prices shown include applicable VAT in accordance with current regulations. The VAT rate depends on the destination country and will be detailed before completing the purchase.

For shipments to the Canary Islands, Ceuta and Melilla, the tax treatment and/or associated procedures may differ from the general regime (for example, local taxes and/or customs formalities). Where applicable, the relevant details will be shown before completing the purchase or communicated to the CUSTOMER during the shipping/delivery process. The CUSTOMER agrees to provide the documentation reasonably necessary for customs clearance (for example, identification data required by the operator or competent authority).

2. Sales destined for the United Kingdom The final price shown includes applicable taxes, duties and customs costs, so the CUSTOMER will not have to pay any additional amounts upon delivery.

3. Sales destined for the United States The prices shown do not include any local taxes, tariffs, customs duties or other charges levied by the authorities of the destination country. Such costs, where applicable, shall be borne by the CUSTOMER.

The SELLER shall not be liable for delays, holds, additional costs or the impossibility of delivery arising from customs procedures or from the CUSTOMER’s failure to comply with requirements imposed by the authorities of the destination country.

4. Consumer protection regulations Sales to consumers residing in the EU are governed by applicable consumer protection regulations, without prejudice to the applicable law established in these Terms.

5. Shipments to other territories If the CUSTOMER wishes to have an order shipped to a different territory, they must contact clients@ibkbike.com beforehand to check feasibility, conditions, timeframes and costs. The SELLER reserves the right to accept or decline and to establish specific conditions.

Article 4. Right of withdrawal, returns and refunds

(Summarised, plain-language version: Return and Warranty Policy)

1. Withdrawal within the European Union A consumer CUSTOMER residing in the EU has thirty (30) calendar days from receipt of the PRODUCT to exercise the right of withdrawal, without needing to give any reason (a period the SELLER has voluntarily extended beyond the legal minimum of 14 calendar days required by consumer protection regulations).

This must be notified by email to clients@ibkbike.com, stating the order number and identification details.

Withdrawal form (by email, not mandatory): the CUSTOMER may use the form included at the end of these Terms (Annex I) or send any unambiguous statement by email.

2. Period for returning goods after notifying withdrawal (EU) The CUSTOMER must return or hand over the goods without undue delay and, in any case, within a maximum period of fourteen (14) calendar days from the date on which they communicate their decision to withdraw. The deadline shall be deemed met if the CUSTOMER carries out the return before this period ends.

3. Exclusions and limitations

  1. Assembly and Preparation Service: in the event of withdrawal from the PRODUCT, the amount paid for the service will not be refundable to the extent that it has actually been provided, without prejudice to the right to withdraw from the PRODUCT in accordance with applicable regulations.
  2. Used/tampered with/assembled products: returns showing signs of use, wear, break-in, improper handling, incorrect assembly, or damage from drops/impacts/extreme use will not be accepted, beyond the handling strictly necessary to establish the nature, characteristics and functioning of the goods. By way of guidance and without limitation, the following shall be considered signs of use, among others: dirt, mud or riding residue on rims, tyres or chain; wear on brake pads or discs; grease or lubricant showing signs of use; scratches, cleat/pedal marks or impacts; and, in electric bicycles, mileage, hours of use or charging cycles recorded on the battery, on-board computer or associated app.
  3. Loss of value: the CUSTOMER is liable for any decrease in value resulting from handling other than that which is necessary. The SELLER may apply a proportional deduction and, in cases of significant damage, missing essential components or the impossibility of reasonable reconditioning, may refuse the return.
  4. Verification of serial number and components: bicycles and frames sold by the SELLER carry a unique serial number, recorded at the time of sale. The SELLER may check that the serial number of the returned PRODUCT matches that of the PRODUCT actually sold.

The SELLER may likewise check that the components making up the returned PRODUCT (including, among others, drivetrain, brakes, wheels, tyres, saddle, stem/handlebars or battery) match those fitted to the PRODUCT at the time of shipment, and may use for this purpose the PRODUCT’s technical specification sheet and the pre-shipment photographic or audiovisual documentation referred to in Article 8.

In the event of a discrepancy in the serial number, or of the substitution, alteration or exchange of components compared with those originally sold, the SELLER may refuse the return, require the return of the components or of the original PRODUCT, apply the relevant deduction under section 3.c above, or take any legal action that may be appropriate.

  1. Personalised or custom-made products: where the SELLER offers the option to configure or personalise a PRODUCT according to specific CUSTOMER specifications (for example, a component configuration different from the catalogue’s standard references), that PRODUCT shall be excluded from the right of withdrawal under Article 103.c) of Royal Legislative Decree 1/2007, of 16 November. This exclusion does not apply to the purchase of standard catalogue products, even where the catalogue includes a large number of references.
  2. Registration, activation or linking of the PRODUCT: where the PRODUCT has been registered, activated or linked in the CUSTOMER’s name (for example, activation of the manufacturer’s warranty, linking of the electric system/motor, battery or on-board computer to an app or personal account, anti-theft registration, or registration/plating where legally required) beyond what is reasonably necessary to check that the PRODUCT works correctly, this shall be considered a sign of use for the purposes of letter b) above, and may result in a deduction from the amount to be refunded or, in the event of significant tampering, in the refusal of the return under section 3.c. Mere activation or linking that is strictly necessary to check that the electric system or motor works correctly shall not, on its own, be grounds for refusing the return.

4. Return conditions The PRODUCT must be returned in perfect condition, unused, in its original packaging and with accessories/manuals/labels/protective elements. The absence of the original packaging, even where the PRODUCT is returned unused, may result in the return being refused or in a deduction from the refundable amount, in accordance with section 3.c above. The CUSTOMER bears the return costs unless expressly stated otherwise. For bulky products (bicycles/frames), the CUSTOMER must ensure adequate packaging.

Where the CUSTOMER arranges the return shipment themselves (choice of carrier, packaging and handling of the shipment), the SELLER shall not be liable for any damage, loss or deterioration occurring during that return transport. Inadequate packaging or improper handling by the CUSTOMER or by the carrier they have engaged may result in the return being refused or in a deduction from the refundable amount, in accordance with section 3.c above, without prejudice to the CUSTOMER’s right to claim directly against the carrier they have engaged.

5. Refunds (EU) – amount, timeframes, payment method and withholding Once the PRODUCT has been received and its condition checked, the SELLER will make the refund within a maximum period of fourteen (14) calendar days.

In the event of withdrawal, the SELLER will refund all payments received from the CUSTOMER, including taxes applied and the delivery costs corresponding to the least expensive standard delivery method. Additional costs arising from the CUSTOMER’s choice of a different delivery method (for example, express or premium delivery) are excluded.

The refund will be made using the same payment method used by the CUSTOMER, unless the CUSTOMER has expressly agreed otherwise; in any case, the CUSTOMER shall not incur any cost as a result of the refund.

The SELLER may withhold the refund until it has received the goods, or until the CUSTOMER provides proof of return, whichever occurs first.

Not refundable: the amount corresponding to the Assembly and Preparation Service to the extent that it has actually been provided, nor personalised/additional services.

6. Bicycles and bulky products The CUSTOMER bears the return costs. The SELLER may withhold amounts corresponding to assembly/preparation/special packaging/shipping where such services have been provided.

7. United Kingdom and United States

  1. United Kingdom: conditions equivalent to those in the EU, with certain local regulatory particularities.
  2. United States: the EU right of withdrawal does not apply; returns are only accepted for defective products, products damaged in transit, or an error attributable to the SELLER, following prior notification to clients@ibkbike.com, without prejudice to any mandatory rights that may apply in the relevant territory.

Article 5. Liability, product use and safety

1. Proper use PRODUCTS must be used in accordance with their nature, specifications and the manufacturer’s instructions. The CUSTOMER bears the consequences of improper or negligent use.

2. Final assembly, adjustments and maintenance Unless the Assembly and Preparation Service has been purchased, final assembly/adjustments/maintenance are the CUSTOMER’s responsibility. Even where the service has been purchased, the CUSTOMER accepts that transport, use or handling may affect adjustments, and it is recommended that the PRODUCT be checked before first use and inspected periodically thereafter.

3. Sporting use/competition No liability is accepted for damage caused by competition, extreme use, normal wear, impacts/falls/overexertion, without prejudice to applicable warranties.

4. Electronics and batteries No liability is accepted for improper handling, non-original/non-approved chargers, exposure to extreme conditions, or unauthorised modifications. Batteries are subject to normal wear.

5. Limitation of liability Except where the law does not permit it, liability is limited to direct and foreseeable damage arising from a breach attributable to the SELLER. This excludes indirect damage, loss of income/profits/use, personal injury resulting from improper use, and third-party claims.

6. Force majeure No liability for failures to perform due to force majeure (strikes, transport disruptions, fires, floods, pandemics, administrative acts, conflicts, supply or logistics failures, etc.).

7. Description, images and manufacturer changes The SELLER makes reasonable efforts to represent the characteristics, photographs and descriptions of the PRODUCTS published on the WEBSITE as accurately as possible. However, the CUSTOMER acknowledges that:

  1. Photographs are illustrative in nature. The colour, finish or appearance of the PRODUCT may show slight variations compared to the image shown, due to factors such as the CUSTOMER’s device screen settings, the lighting of the photograph, or minor differences between units or manufacturing batches.
  2. The SELLER is not the manufacturer of the PRODUCTS marketed on the WEBSITE, but a distributor of the brands indicated on each product page. Manufacturers may introduce changes to components, specifications, colours or design of their models without prior notice to the SELLER (for example, between different production runs or model years), so the PRODUCT received may show minor variations compared to the information published at the time of purchase.
  3. The foregoing does not affect the essential characteristics of the PRODUCT nor does it exempt the SELLER from its liability under the legal conformity warranty regulated in Article 6, which continues to protect the CUSTOMER against any PRODUCT that does not substantially correspond to the description, images or public statements made on the WEBSITE at the time of purchase.
  4. Should the CUSTOMER detect a significant discrepancy between the PRODUCT received and what was published on the WEBSITE, they must report it to clients@ibkbike.com; the SELLER will assess the matter in accordance with the legal conformity warranty.

Article 6. Legal warranties and manufacturer’s warranty

1. EU legal warranty In the EU: a minimum warranty of 2 years from delivery. In Spain: 3 years for purchases made since 1 January 2022. If the mandatory regulations of the country of residence within the EU establish a longer period, the mandatory period shall apply.

2. Presumption (Spain) In Spain, unless proven otherwise, it is presumed that a lack of conformity existed during the 2 years following delivery (subject to the legal exceptions).

3. Remedies Repair or replacement; if this is not possible or cannot reasonably be carried out, a price reduction or contract termination in accordance with applicable regulations.

4. Exclusions Improper use, assembly/handling by unauthorised third parties, lack of maintenance, normal wear, competition/extreme use, impacts/falls/accidents, unauthorised modifications, unauthorised electronic/software tampering.

5. Electronics and batteries Batteries: the gradual loss of capacity through use/ageing does not in itself constitute a defect. This excludes damage caused by non-original/non-approved/non-recommended chargers.

6. Manufacturer’s warranty The manufacturer’s commercial warranty applies under its own terms. It may require dealing directly with the manufacturer or an authorised service centre.

7. Outside the EU (UK/USA) In the USA: the regulations of the destination country and/or the manufacturer’s warranty shall apply; certain EU provisions may not apply. In the UK: local regulations and the manufacturer’s terms apply.

8. Procedure Contact clients@ibkbike.com beforehand with the order number, description and documentation. The SELLER may request the claimant’s identity document and/or the corresponding invoice or proof of purchase, in order to verify the applicant’s identity and their status as the buyer or legitimate holder of the PRODUCT.

8bis. Warranty linked to the product and proof of purchase The warranties regulated in this Article protect the PRODUCT against the SELLER regardless of who its current holder is (for example, in the case of a gift or a sale between private individuals within the warranty period). However, exercising them will in all cases require presentation of the original proof of purchase (order number or invoice) corresponding to the PRODUCT, without which the SELLER may reject the claim.

9. Single channel for handling warranty claims All warranty matters (both the legal conformity warranty and, where applicable, the manufacturer’s commercial warranty) must be handled exclusively through the SELLER, by first contacting clients@ibkbike.com. It is the SELLER who will determine, depending on the case, whether the repair is carried out at its own facilities or whether it is necessary to refer the PRODUCT to an authorised service point, expressly informing the CUSTOMER of the specific point they must go to where, for reasons of proximity or other justified cause, it is not possible to deal with the matter directly with the SELLER.

The CUSTOMER must not take the PRODUCT to any workshop, service centre or repair point on their own initiative, without the SELLER’s prior express authorisation. Handing the PRODUCT over to a third party not authorised by the SELLER for warranty purposes will result in the loss of the warranty (both legal and commercial), to the extent that such unauthorised intervention constitutes unauthorised handling under section 4 above or prevents the origin of the lack of conformity from being established.

The SELLER is not necessarily an official authorised distributor of all the brands marketed on the WEBSITE. Correct handling of the warranty — including any replacement, repair or manufacturer intervention — therefore depends on the procedure always being initiated and channelled through the SELLER. The SELLER cannot guarantee correct handling of the matter if the CUSTOMER acts on their own without following this procedure, as this may cause the SELLER to lose control of the process with the manufacturer or the relevant service centre.

Article 7. Payment, payment security, invoicing and financing

1. Payment methods Card payment via Shopify Payments (including, among other methods enabled through this gateway, Google Pay and Apple Pay), PayPal (including deferred payment where available and the CUSTOMER is eligible), bank transfer, and financing/instalment payment via Scalapay or Cetelem where available.

2. Payment security The WEBSITE uses secure payment gateways managed by third parties (Shopify Payments, PayPal, Scalapay, Cetelem, depending on the method chosen). Payment data is transmitted directly to the relevant provider and is not stored by the SELLER except to the extent strictly necessary (status, confirmation, transaction identifiers).

3. Timing of the charge Charged upon order confirmation (unless stated otherwise). For bank transfers, the order remains pending until payment is received. For financing/instalment payments, the order is subject to the provider’s approval/confirmation.

4. Rejection/incidents If payment is rejected, the order may be cancelled. No liability is accepted for delays caused by incidents in the payment process.

4bis. Payment fraud prevention The SELLER may request additional verification of the CUSTOMER’s identity and/or the ownership of the payment method used before proceeding to ship the ORDER, particularly for high-value orders, orders in which the shipping address differs substantially from the billing address, or which show any other reasonable indication of fraudulent use of a payment method. The SELLER may suspend or cancel the ORDER, with a full refund of any amounts paid, if such verification is not satisfactorily completed within a reasonable timeframe.

5. Invoicing Order confirmation is not an invoice. The invoice will be issued in accordance with applicable regulations and may be provided electronically or together with the shipment. The CUSTOMER must provide accurate details.

6. Financing/instalment payments The transaction is managed by the provider (PayPal/Scalapay/Cetelem) under its own terms. Approval/rejection is at the provider’s discretion.

Article 8. Delivery, timeframes, transport, tracking and incidents

1. Delivery methods and shipping costs The available delivery methods, carriers, shipping costs and, where applicable, free-shipping thresholds will be shown to the CUSTOMER during the purchasing process, before confirming the ORDER.

For logistical or operational reasons, the SELLER may change the carrier or delivery method initially envisaged, provided this does not entail a substantial reduction in the service contracted.

2. Delivery times Delivery times indicated on the WEBSITE are estimates, unless a fixed deadline is expressly stated for a specific ORDER. Times may vary depending on the destination, PRODUCT availability, ORDER volume, promotional campaigns and logistical circumstances or force majeure.

The SELLER shall not be liable for delays attributable to the carrier, customs procedures, inspections or controls by authorities, nor for incidents arising from incorrect or incomplete information provided by the CUSTOMER.

Electric bicycles and other PRODUCTS incorporating lithium batteries are subject to international regulations on the transport of dangerous goods (for example, IATA/ADR regulations applicable to air and road transport). Such regulations may involve restrictions, additional documentation or transit times different from those of other PRODUCTS, particularly for international shipments, without the SELLER being liable for any resulting delays.

The foregoing is without prejudice to the rights available to the consumer under applicable regulations.

3. International shipments, customs and taxes For international shipments, especially outside the European Union, the CUSTOMER acknowledges that customs procedures and controls may occur that affect delivery times.

In particular: - United Kingdom: the final price shown on the WEBSITE includes applicable taxes and customs costs, so the CUSTOMER will not have to pay any additional amounts on delivery. - United States: any import duties, fees and taxes will be borne by the CUSTOMER and may cause delays, holds or additional procedures beyond the SELLER’s control.

The SELLER shall not be liable for delays, holds or costs arising from customs procedures or from the CUSTOMER’s failure to cooperate with the authorities or the carrier to complete importation.

4. Partial shipments The SELLER may make partial shipments where necessary for reasons of availability or logistics. In this case, the CUSTOMER will receive, where the carrier allows it, tracking information for each shipment.

5. Order tracking Where the carrier allows it, the CUSTOMER will have access to tracking information. Tracking is purely informative and may be subject to updates or variations beyond the SELLER’s control.

For any queries, the CUSTOMER may contact clients@ibkbike.com, stating the ORDER number.

6. Delivery address and the CUSTOMER’s duty to cooperate The CUSTOMER is responsible for providing a complete and accurate address, as well as the information necessary for delivery (phone number, access codes, reasonable instructions, etc.).

If delivery cannot be made for reasons attributable to the CUSTOMER (for example, incorrect address, repeated absence, missing essential information, unjustified refusal of the shipment, or lack of cooperation with the carrier), the shipment may be held in storage, returned to origin, or require redelivery. In such cases, the SELLER may charge the CUSTOMER the reasonable costs actually incurred (redelivery, return, storage or handling), without prejudice to the rights available to the consumer under applicable regulations.

7. Receipt of the order, proof of delivery and inspection For tracking and logistical evidence purposes, delivery may be considered to have taken place when the carrier indicates delivery at the address provided, which may include, depending on the service contracted and the carrier, the following as proof: signature, photograph, geolocation or an equivalent electronic confirmation. The foregoing does not limit consumer rights or the risk-transfer regime set out in Article 9.

For PRODUCTS with a value of more than €500, the SELLER may require the signature of the CUSTOMER or of the person receiving the shipment on their behalf as a condition for completing delivery.

Upon delivery, the CUSTOMER must check the external condition of the package and, as far as possible, of the PRODUCT.

If the CUSTOMER detects dents, breakage, tampering with the packaging, visible damage or missing items, they must: 1. Record it, where possible, on the carrier’s delivery note, and 2. Notify the SELLER as soon as possible and, in any case, within forty-eight (48) hours of delivery, providing photographs and the ORDER number, via clients@ibkbike.com. This timeframe is set so that the claim against the carrier and/or its insurer can be made in due time and form, and does not in any way affect the CUSTOMER’s rights under the legal conformity warranty regulated in Article 6.

The SELLER may document the condition of the PRODUCT and its packaging photographically or audiovisually prior to shipment. This documentation may be used as evidence of the condition in which the PRODUCT was handed over to the carrier.

8. Transport incidents and limitation of the carrier’s liability Where the damage or loss is attributable to transport, handling of the claim may be subject to the timeframes, documentation and procedures of the carrier and/or its insurer (photographs of the packaging, labels, number of parcels, etc.).

To the extent permitted by applicable regulations, liability for damage in transit may be limited to the compensation or cover recognised by the carrier and/or insurer, without prejudice to consumer rights against the SELLER where applicable.

9. Packaging PRODUCTS will be packaged in accordance with reasonable protection standards and standard transport requirements, in order to minimise risks during delivery.

For returns, the CUSTOMER must package the PRODUCT adequately. Damage resulting from insufficient or inadequate packaging may lead to the return being refused or to a deduction from the amount to be refunded, where legally permitted.

10. Particularities of shipping bicycles Due to transport requirements and packaging dimensions, bicycles may be delivered partially disassembled, including, by way of example: - front wheel removed, - handlebars turned or removed on some models, and/or - seatpost removed depending on the model and box size.

Final assembly shall be the CUSTOMER’s responsibility, in accordance with the manufacturer’s instructions or by a qualified professional. The CUSTOMER acknowledges that adjustments may be affected by transport and packaging.

Article 9. Transfer of risk and retention of title

1. Retention of title The SELLER retains ownership until full payment has been made.

2. Transfer of risk Risk transfers when the CUSTOMER (or a third party designated other than the carrier) takes physical possession. If the CUSTOMER chooses a carrier other than those proposed (where this option exists), risk transfers upon handover to the chosen carrier.

3. Non-payment The SELLER may suspend processing/delivery and terminate the contract where applicable in accordance with applicable regulations.

4. Mandatory regulations Nothing herein limits any non-waivable consumer rights or actions against the carrier/third parties.

Article 10. Evidence, record-keeping, communications and customer service

1. Evidence Computerised records held by the SELLER/providers constitute valid evidence to the extent permitted by applicable regulations.

2. Record-keeping The SELLER will archive order documentation for the legally required period. The CUSTOMER may request information via clients@ibkbike.com.

3. Communications Preferably electronic. The CUSTOMER must keep their details up to date. No liability is accepted for failure to receive communications due to incorrect details, spam filters or issues beyond the SELLER’s control.

5. Handling of incidents The SELLER will endeavour to handle incidents diligently and as promptly as possible, requesting only the minimum information necessary. Nothing shall affect the CUSTOMER’s rights under applicable regulations.

Incidents, returns and warranty claims will be resolved solely in accordance with these Terms and applicable regulations, regardless of any review, public rating, or threat by the CUSTOMER to publish one. The foregoing does not limit the CUSTOMER’s right to express their opinion about their purchasing experience.

Article 11. Applicable law and jurisdiction

1. Applicable law Spanish law, without prejudice to the mandatory consumer protection rules of the CUSTOMER’s country of residence, where the CUSTOMER is a consumer.

2. Jurisdiction The courts and tribunals having jurisdiction under consumer protection regulations shall apply. If the CUSTOMER is not a consumer and regulations so permit, the parties shall submit to the courts of Spain, unless another legal forum applies.

3. Alternative dispute resolution (ADR) and EU resources The CUSTOMER may make use of ADR mechanisms where applicable. If resident in the EU, official resources can be consulted at: https://consumer-redress.ec.europa.eu/

4. Consumer arbitration system and complaint forms The SELLER is not affiliated with any consumer arbitration system or trust seal, without prejudice to the ADR mechanisms and online dispute resolution referred to in section 3 above.

The SELLER has official complaint forms available to the CUSTOMER at its physical premises (Errekalde industrialdea 1, 24, 20160 Lasarte, Gipuzkoa), in accordance with applicable consumer protection regulations in the Basque Autonomous Community. A CUSTOMER who has made a purchase through the WEBSITE may also request the complaint form by email at clients@ibkbike.com, which will be sent free of charge.

Article 11bis. Prevailing language

These Terms are originally drafted in Spanish. Should translations into other languages be published to facilitate understanding by CUSTOMERS from other countries, in the event of any discrepancy or contradiction between the Spanish version and any translation, the Spanish version shall prevail, unless mandatory consumer protection regulations of the CUSTOMER’s country of residence require otherwise.

Article 12. Partial invalidity

Should any clause be declared null or unenforceable, this shall not affect the validity of the remaining Terms.

Article 13. Amendment of the Terms

The SELLER may amend these Terms at any time. The Terms in force at the time of purchase shall apply.

Article 14. Entire agreement

These Terms constitute the entire agreement between the CUSTOMER and the SELLER regarding purchases made on the WEBSITE.

Article 15. Purchasing process, formation of the contract, price and availability

15.1. Purchasing process and correction of errors The CUSTOMER may select PRODUCTS and add them to the cart. Before completing the purchase, the CUSTOMER may review the order and correct any errors (for example, quantities, address or billing details) using the tools provided on the WEBSITE.

15.2. Formation of the contract The contract shall be deemed formed when the SELLER confirms acceptance of the ORDER, normally by electronic confirmation (for example, a confirmation email) and/or when payment is validated, without prejudice to any anti-fraud or availability checks.

The automatic order receipt email may be purely informative in nature if this is indicated during the purchasing process.

15.3. Price, currency and manifest errors Applicable prices shall be those shown on the WEBSITE at the time the ORDER is placed, including any taxes applicable depending on the destination, and shall be shown before completing the purchase.

Depending on the country of access, the WEBSITE may display prices in a local currency other than the euro (for example, pound sterling, Swedish krona, Czech koruna, Hungarian forint, Polish złoty or Romanian leu), for purely informational purposes and for the CUSTOMER’s convenience. The amount actually charged to the CUSTOMER, as well as the exchange rate applied where relevant, will depend on the configuration of the payment gateway and/or the issuer of the payment method used, and there may be small variations from the amount shown in the local currency due to the exchange rate or conversion fees charged by the CUSTOMER’s institution, which are beyond the SELLER’s control.

In the event of a manifest pricing error (for example, a typographical error or an obvious technical fault), the SELLER may cancel the ORDER and fully refund any amount paid. The SELLER may, where appropriate, offer the CUSTOMER the option of keeping the order at the correct price, if the CUSTOMER expressly accepts this.

15.4. Availability and stock The availability of PRODUCTS may depend on the SELLER’s own stock or that of its suppliers. If a PRODUCT is not available after the ORDER has been placed, the SELLER will inform the CUSTOMER as soon as possible.

In the event of unavailability, the SELLER may: - propose an equivalent alternative product (subject to the CUSTOMER’s acceptance), or - cancel the ORDER in whole or in part and refund the corresponding amounts paid.

15.5. Limit on units per order The SELLER may limit the number of units of the same PRODUCT that a CUSTOMER can purchase in a single ORDER or within a given period, particularly for discounted, limited-edition or high-demand products. The SELLER may likewise cancel or reject ORDERS whose volume, frequency or purchasing pattern are reasonably incompatible with end-consumer use by the CUSTOMER, in accordance with the definition of CUSTOMER in Article 1. In the event of cancellation under this section, the SELLER will refund in full and without undue delay any amount the CUSTOMER has paid for the cancelled ORDER.

Article 15bis. Coupons and discount codes

Coupons or discount codes may only be used once per ORDER. They are not combinable with each other or with any other current promotions, offers or discounts, and shall not apply to PRODUCTS already on sale, discount or promotion, unless expressly stated otherwise in the specific terms of the relevant coupon.

The SELLER may set additional conditions regarding application, validity, minimum purchase amount or excluded PRODUCTS for each coupon, which will be detailed at the time it is issued or communicated to the CUSTOMER.

Article 16. Data protection and cookies

The processing of personal data arising from the contractual relationship governed by these Terms is subject to the SELLER’s Privacy Policy.

The use of cookies and similar technologies on the WEBSITE is subject to the Cookie Policy.
